Terms of Service

1. Agreement to terms
By downloading, installing, or using the Areed mobile application or any related services (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
We may update these Terms from time to time. The “Last updated” date at the top will change when we do. We may notify you of material changes via the app or by email. Your continued use of the Service after changes take effect means you accept the updated Terms.

2. Description of the service
Areed is a B2B marketplace platform (focused on the UAE) that allows:
- Customers to create and manage requests for quotation (RFQs), receive quotations from suppliers, accept quotations, and place orders. Payment for orders is not made through the Areed app; you arrange and complete payments directly with the supplier outside the app (e.g. bank transfer, other agreed methods).
- Suppliers to view relevant RFQs, submit quotations, and manage orders once their profile is approved.
The Service includes the mobile app, backend systems, admin tools, and any related websites or features we provide. We may add, change, or discontinue features with reasonable notice where practicable.
No in-app payments. The Areed application does not offer or process any payment transactions. All payments are solely between you and the other party (customer or supplier), conducted outside the app. Areed is not a payment processor and does not handle your funds.
3. Eligibility and accounts
- You must be at least 18 years old and have the legal capacity to enter into a binding contract.
- You must provide accurate and complete registration and profile information and keep it up to date.
- You are responsible for keeping your account credentials secure and for all activity under your account. Notify us promptly at areedportal@gmail.com if you suspect unauthorized access.
- One natural person or one legal entity (e.g. company) should not maintain multiple accounts for the same role in a way that abuses the Service or misleads other users.
4. Use of the service
4.1 Permitted use
You may use the Service only for lawful B2B purposes in connection with requesting or providing quotations, orders, and related business activities in the UAE.
4.2 Prohibited conduct
You must not:
- Violate any applicable law or regulation.
- Infringe any third party’s intellectual property, privacy, or other rights.
- Post false, misleading, or fraudulent content (e.g. in RFQs, quotations, or profiles).
- Harass, abuse, or harm other users or Areed personnel.
- Attempt to gain unauthorized access to the Service, other accounts, or our or our providers’ systems.
- Use the Service to distribute malware, spam, or unsolicited communications.
- Scrape, reverse-engineer, or automate access to the Service in a way that overloads our systems or breaches these Terms.
- Resell or repurpose the Service or data derived from it in a manner not intended by us.
We may suspend or terminate your account and access to the Service if we reasonably believe you have breached these Terms or for other operational, legal, or safety reasons.
5. Roles and responsibilities
5.1 Customers
- You are responsible for the accuracy of RFQs (descriptions, quantities, delivery location, attachments, etc.).
- When you accept a quotation, you enter into a contract with the supplier. Areed facilitates the marketplace but is not a party to that contract unless we expressly state otherwise.
- You are responsible for paying for accepted orders in accordance with the terms you agree with the supplier. Payment is made outside the app; Areed does not process payments and is not responsible for any payment failure, dispute, or loss.
5.2 Suppliers
- You must complete and maintain a supplier profile and provide any required documents (e.g. licenses). Approval of your profile is at our discretion and we may revoke it for breach of these Terms or for other reasonable reasons.
- Until your profile is approved, you may not fully use supplier features (e.g. submitting quotations). You must not misrepresent your business, capabilities, or approval status.
- Quotations you submit are binding to the extent you and the customer agree. You are responsible for fulfilling accepted orders and for the quality and legality of your goods or services.
5.3 Areed
- We provide the platform and tools to connect customers and suppliers. We do not guarantee the quality, legality, or delivery of any third-party goods or services.
- We may moderate content, suspend or remove accounts, and take other steps we deem necessary to operate the Service and enforce these Terms.
6. Payments and fees
- No payments via the app. The Areed app does not process, facilitate, or handle any payments. All payment for orders is arranged and completed directly between you and the other user (e.g. customer and supplier) outside the app, using whatever method you agree (e.g. bank transfer, cash, or other means).
- No accountability for payments. Areed is not a party to any payment transaction. We do not accept responsibility or liability for any payment dispute, delay, failure, fraud, or loss arising from or related to payments made or agreed between users. Any such issues are solely between you and the other party.
- You are responsible for any taxes (e.g. VAT) that apply to your transactions. We may collect and remit taxes only where required by law in relation to our own fees, if any.
- Refunds and disputes between you and another user are solely between you and that user; we may assist in accordance with our policies but are not liable for their actions or failures.
7. Intellectual property
- Areed and our licensors own all rights in the Service (including the app, design, text, graphics, and our trademarks and logos). You do not acquire any ownership by using the Service.
- You retain ownership of content you submit (e.g. RFQ descriptions, quotations, documents). You grant us a non-exclusive, royalty-free, worldwide licence to use, store, and display that content as needed to operate the Service and as described in our Privacy Policy.
- You must not use our name, logo, or branding without our prior written permission.
8. Privacy and data
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to that processing.
9. Disclaimers
- The Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- Payments: The app does not process or facilitate payments. All payment is between you and the other user, outside the app. Areed does not accept accountability for any payment transaction, dispute, or loss.
- We are not liable for (a) the conduct of users or third parties, (b) the quality, safety, or legality of goods or services offered by suppliers, (c) any payment or financial transaction between users, or (d) any losses arising from your use of or reliance on the Service or any content on it, except where we cannot exclude or limit liability under applicable law.
10. Limitation of liability
- To the fullest extent permitted by law, Areed and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profit, data, or business opportunity) arising from or related to the Service or these Terms.
- Our total liability for any claims arising from or related to the Service or these Terms shall not exceed the amount you paid to Areed (if any) in the 12 months before the event giving rise to the claim, or 100 AED, whichever is greater.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g. UAE).
11. Indemnity
You agree to indemnify and hold harmless Areed and its affiliates, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or third-party rights, or (d) any dispute between you and another user.
12. Termination
- You may stop using the Service and close your account at any time (subject to completing or resolving any open orders or payments as required).
- We may suspend or terminate your account or access to the Service at any time, with or without notice, for breach of these Terms, fraud, or other reasonable cause.
- On termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive.
13. Governing law and disputes
- These Terms are governed by the laws of the United Arab Emirates (and the applicable emirate), without regard to conflict-of-law principles.
- Any dispute arising from or related to these Terms or the Service shall first be addressed by contacting us at areedportal@gmail.com. If we cannot resolve it, the dispute may be referred to the courts of the UAE (or the relevant emirate) as permitted by law.
14. General
- Entire agreement: These Terms (together with the Privacy Policy and any other policies we reference) constitute the entire agreement between you and Areed regarding the Service.
- Severability: If any part of these Terms is held invalid or unenforceable, the rest remains in effect.
- No waiver: Our failure to enforce any right or provision does not waive that right or provision.
- Assignment: You may not assign your rights or obligations without our consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
